Founded in New York City's famed Greenwich Village, Mamoun's has been serving high quality Middle Eastern Food since 1971.     • 1. Franchised Restaurant. This is our only franchised Restaurant that has been open and operating the entirety of the 2014 and 2015 calendar years as of the Issue Date of this Disclosure Document, which began operating in 2013 in New Brunswick, New Jersey. We excluded the financial information of those Restaurants that are owned and operated by our affiliates because, at this time, we believe the most reasonable performance representation should be based on the actual historical operational experience of our single franchisee that is required to operate the Franchised Restaurant in a manner that is substantially similar to how you will be required to operate your Franchised Business under your Franchise Agreement.
    • A. Please note that the Franchised Restaurant, which is approximately 1,000 square feet in size, is located in New Jersey where our brand and Proprietary Marks have likely gained more goodwill and reputation (given that we also have two (2) affiliate-owned Restaurants @2018 Mamouns Franchise Company, LLC 2018 Franchise Disclosure Document 61 operating in that state) than there may be in the area you choose to open your Franchised Business.
    • B. The Franchised Restaurant opened in 2013 so, as of the start of the Measurement Period, it already had been in operation for some time, which may have affected its Gross Sales over the Measurement Periods (as compared to a new Franchised Business that is just opening and commencing operation). In addition, the Franchised Restaurant does not pay all of the fees that we currently require from new Franchised Businesses, and the Franchised Restaurant pays a Royalty of five percent (5%) rather than the six percent (6%) Royalty required by our current Franchise Agreement.
    • 2. Gross Sales. The term "Gross Sales" means the total revenue generated by the Franchised Restaurant over each Measurement Period, including without limitation all revenue generated from the sale and provision of any and all gift cards and other Approved Products offered at or through the Franchised Business, whether such revenues are evidenced by cash, check, credit, charge, account, barter or exchange. "Gross Sales" does not include any sales tax and equivalent taxes that are collected by the owner of this Franchised Restaurant for or on behalf of any governmental taxing authority and paid to that authority. We obtained this Gross Sales information through accessing the POS System that is used in connection with the Franchised Restaurant, but we have not independently verified or audited this information.
    • *The preceding information is based on the 2017 financial performance of our franchised location in New Brunswick, NJ. This is our only franchised location which has been in operation for a full calendar year. We excluded the financial information of those Restaurants owned and operated by affiliates because, at this time, we believe the most reasonable performance representation should be based on the actual historical operational experience of our single franchisee that is required to operate the Franchised Restaurant in a manner substantially similar to how franchisees will be required to operate a Franchised Business under our Franchise Agreement. **Percentage of Weekly Gross Sales
